The Telemarketing, Sales, Marketing, Dealer Representative, or Recruiter (“Representative” or "Rep") as signed below, agrees to provide the marketing and sales services for CityNation Publishing (“CityNation”) as follows:

1. Representative is provided the license rights to solicit and obtain new Customers for the “Total Website Package” and "Internet Advertising Package" (may solicit every type of business, i.e. retail, wholesale, manufacturer, consultant, or distributor) as described herein. 

2. Representative agrees to utilize only the sales and marketing material provided by or previously approved by CityNation when soliciting Customers or Reps. Each new Customer Order and Rep obtained by Representative shall be subject to approval by CityNation.

3. Customer Fees and Payment: The fees charged to the Customer for the “Total Website" and "Internet Advertising" Packages are separately shown on the CityNation Price Schedule, which may be changed at any time by CityNation without notice. All Customers shall make payments in the name of and to CityNation Publishing as described in the Order Form.

4. Representative Compensation: For those Customers obtained by or from the result of Rep's effort (excluding Recruiter), the Rep shall receive 30% of the Customer’s total sales amount as paid to CityNation, within 7 days after CityNation receives such payment. Rep shall begin receiving the monthly subscription fee commissions (30%) from own sales after obtaining 5 paid Orders for the “Total Website Package.”

5. When Rep (including Recruiter) obtains members for his/her Marketing Team that sells the “Total Website" or "Internet Advertising" Packages,, the Rep shall receive 10% of their Customer’s total sales amount as paid to CityNation, within 7 days after CityNation receives such payment. The Marketing Team Members shall receive 20% commission and shall first be approved by CityNation and sign an Agreement with CityNation similar to this Agreement.  Marketing Team Members may consist of Telemarketers, Sale Reps, or Dealers

6. The compensation to Representative in above Paragraphs 4 and 5 shall continue as long as the Representative is Active. To establish that Representative is Active, a minimum of one new Customer Order shall be obtained every 60 days by Representative or his/her Marketing Team members; Or, there shall be at least 25 Active Customers (currently paying monthly subscription fees) that Representative or his/her Marketing Team had obtained. (Example: As long as more than 25 Active Customers are maintained, Representative is not required to sell “Total Website Packages” and will still receive above compensation for his/her Orders including Orders from the Marketing Team members that are still being supervised by Representative, and is still considered Active.)

7. In event the Representative for any reason is no longer Active as described above, all compensation shall thereupon cease (except for compensation for any still due Setup fees from Orders obtained by Representative). All material and literature furnished to Representative shall be immediately no longer used by Representative or any of its associates, not copied, not furnished to any others, and immediately returned to CityNation in event Representative becomes not Active or stops representing or selling for CityNation. Violation of this Agreement is subject to appropriate compensation to CityNation.

8. This Agreement provides the Representative a license right to solicit prospective Customers for the “Total Website Package” and to utilize CityNation’s established sales and marketing methods and procedures in return for compensation as shown above. The Representative shall be responsible for his/her own expenses. Representative shall operate in all respects as an independent contractor, independently and separately from CityNation and any of its associates or authorized representatives. This independent relationship shall include for example the following: his/her own hours of work, location and place of work and method of work (other than the use of furnished and approved sales material). Representative agrees that he/she is not an employee of CityNation, and that Representative shall be responsible for his/her own expenses including federal, state and local taxes, shall obtain all necessary insurance, and shall conform to all local, state and federal U.S. laws. Representative shall derive all of his/her compensation for the effort covered by this Agreement from the compensation described herein.

9. It is recognized that various sales material, instructions, publication procedures, and business standards will be developed by CityNation and its authorized representatives from time to time. It is, therefore, agreed that the Representative will utilize such material, conform to such standards and implement such procedures, whether provided orally or in writing, upon issuance by CityNation. All CityNation furnished material and sales instructions shall be proprietary to and shall be the property of CityNation. Any Representative developed material used for sales to Customers shall be first approved by CityNation. Representative shall provide weekly activity and status reports to CityNation.

10. This Agreement remains in force during such period the Representative remains Active. In event Representative becomes at any time not Active as described above, this Agreement is thereupon automatically and immediately cancelled (unless otherwise extended in writing by CityNation), except should Representative not obtain at least two new Customers within the first 60 days, this Agreement is automatically cancelled at the end of such period (unless mutually agreed to be extended, in writing). Also, this Agreement is automatically and immediately cancelled in event Representative does not conform to any or all provisions, in which case the provision of not Active shall immediately apply. This is the entire Agreement between the parties.
